01Agreement
These terms apply when you use our website, macrosbit.com, and Macrosbit software and apps, including Macrosbit HR, the Macrosbit HR mobile app, Macrosbit Chatbit and Macrosbit Growth (together, the "Services"). The Services are provided by Macrosbit ("Macrosbit", "we", "us"), Lulu Complex, Salem Al-Mubarak Street, Salmiya, Hawalli, Kuwait.
By using the Services you agree to these terms. If you use them for an organisation (a "customer"), you agree for that organisation and confirm you may do so. If the customer has a signed agreement, order form or quotation with us, that document applies too, and it wins where it differs from these terms.
02The Services
We provide the Services on subscription or project terms agreed with each customer. We keep improving them, so features may change. We will not materially reduce the core features a customer has paid for during a paid term without telling the customer first.
Some features are optional and only work once the customer or a user turns them on or connects another service, such as WhatsApp, Instagram, Facebook, Google or an SMS provider.
03Accounts
- The customer creates and manages its users' accounts, decides what each user can see and do, and is responsible for what happens under those accounts.
- Keep sign-in details secret, use multi-factor authentication where it is offered, and tell us straight away at info@macrosbit.com if you think an account has been used without permission.
- Employees who use the Macrosbit HR app sign in with the account their employer gives them, and their employer's rules for that account apply.
04Acceptable use
You must not use the Services to:
- break the law or anyone's rights, including privacy, employment, consumer, anti-spam and intellectual property laws;
- send messages to people who have not agreed to receive them, or break the WhatsApp Business Policy, Meta's terms, Google's terms or another connected provider's rules;
- upload malware, or content that is unlawful, abusive, deceptive or infringing;
- try to get into accounts, data or systems you are not allowed to reach, test or bypass our security, or overload the Services;
- copy, resell or reverse engineer the Services, except where the law allows it.
We may remove content or suspend access that breaks this section, as described in Suspension and termination.
05Customer data
The customer owns the data it and its users put into the Services, and the data received from the accounts it connects ("Customer Data"). The customer lets us host, process and transmit Customer Data only to provide, secure and support the Services for that customer, as our Privacy Policy describes. We do not sell Customer Data.
The customer is responsible for having a lawful basis, the notices and the consents needed for the Customer Data it uses, including its employees' records and the contacts it messages, and for the accuracy of what it enters.
06Connected third-party services
When a customer or a user connects a third-party service, such as WhatsApp, Facebook, Instagram, Google (for example Gmail, Google Calendar, Search Console, Analytics, Business Profile or Google Ads), a shop platform or an SMS provider, that provider's own terms also apply to its service. We are not responsible for a third-party service, its availability, or changes it makes that affect a feature.
We use data received from those services only to provide the features they were connected for. Data received from Google APIs is used as the Privacy Policy describes and in line with the Google API Services User Data Policy, including its Limited Use requirements. You can disconnect a service at any time.
07AI features
Some features use artificial intelligence, for example to suggest a reply, summarise a conversation or draft content. AI output can be wrong or incomplete. Review it before you rely on it or send it; the person who sends or approves it is responsible for it.
08Payroll, legal and other results
The Services help customers calculate payroll, leave, indemnity and other entitlements and keep records that the law may require. They are not legal, tax or financial advice. The customer is responsible for checking that its settings and results meet the laws and agreements that apply to it before it pays or files anything.
09Fees
Fees, billing periods and payment terms are set out in the customer's order form, quotation or invoice. Fees do not include taxes unless stated. If an invoice is not paid on time, we may suspend the Services after telling the customer and giving it a reasonable time to pay.
10Intellectual property
We own the Services, including the software, designs and documentation. During the subscription we give the customer and its users a limited, non-exclusive, non-transferable right to use the Services for the customer's own business under these terms. If you send us ideas or feedback, we may use them without any obligation to you.
11Confidentiality
Each side keeps the other's non-public information confidential, uses it only for the purpose of these terms, and shares it only with people who need it and are bound to keep it confidential, unless the law requires otherwise.
12Availability and support
We work to keep the Services available and secure, but they may sometimes be unavailable for maintenance, updates or reasons outside our control. Where we can, we schedule maintenance outside working hours and give notice of planned downtime. Support is available at info@macrosbit.com and the phone numbers below, or as the customer's agreement sets out.
13Suspension and termination
- We may suspend access straight away if it is needed to stop a security threat, serious misuse or a breach of the law or of Acceptable use, and we will tell the customer why as soon as we can.
- Either side may end the subscription as the customer's agreement allows, or if the other side seriously breaches these terms and does not fix the breach within 30 days of being told.
- When the subscription ends, the customer can ask for an export of its Customer Data within 30 days. After that we delete it as the Privacy Policy describes, except records the law requires us to keep.
14Disclaimers
Except as the customer's agreement states, and as far as the law allows, the Services are provided "as is" and "as available", and we make no other promises, including that they will be uninterrupted or error-free or fit a particular purpose.
15Limitation of liability
As far as the law allows, neither side is liable for indirect or consequential loss, or for lost profits, revenue or data, and our total liability under these terms is limited to the fees the customer paid us for the Services in the 12 months before the claim. Nothing in these terms limits liability that the law does not allow to be limited.
16Indemnity
The customer will defend and compensate Macrosbit for claims by others that arise from Customer Data, or from the customer's or its users' use of the Services in breach of these terms or the law.
17Governing law
These terms are governed by the laws of the State of Kuwait, and the courts of Kuwait have jurisdiction over any dispute about them.
18Changes to these terms
We may update these terms as our Services or the law change. We will change the "Last updated" date at the top and, for important changes, tell customers by email or in the app before the change takes effect. Continuing to use the Services after that means you accept the new terms.
